These Terms & Conditions (“Terms”) form a binding agreement between you and [Company Legal Name] (“GradScholar,” “we,” “us,” or “our”) governing your access to and use of the GradScholar website and application (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & accounts

  • You must be at least 16 years old and able to form a binding contract to use the Service.
  • You must provide accurate account information and keep it current.
  • You are responsible for all activity under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use.
  • Accounts are personal to you. You may not share, sell, or transfer your account, and you may not let others use it.

2. The Service

GradScholar provides organizational tools and AI-assisted features to help you manage graduate applications — including supervisor tracking, university shortlisting, email drafting, profile evaluation, and research assistance. The Service is an aid; it does not act as your admissions advisor, agent, or legal counsel, and it does not guarantee any admission, funding, response, or outcome.

3. Beta period

During the beta period, all features (including Premium features) are provided free of charge until August 30, 2026. The Service is provided on an “as is” and “as available” basis during beta; features may change, be limited, or be discontinued, and data or configurations may not be preserved. We may end or extend the beta at our discretion.

4. Plans, billing & refunds

The following apply when paid plans begin (after the beta period):

  • Free plan — includes core tracking, university shortlisting and extraction, dashboard/analytics, CV parsing and profile evaluation, and up to 10 AI email drafts per calendar month. Draft allowances reset monthly and do not roll over.
  • Premium plan — priced at $10 per month (or as otherwise stated at checkout), and adds the autonomous Outreach Agent, unlimited AI email drafts, the Compass AI copilot with deep research, and university AI fit & admission-probability analysis.
  • Paid subscriptions renew automatically each billing period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
  • Payments will be processed by a third-party payment processor. Fees are exclusive of taxes, which you are responsible for where applicable.
  • Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partial periods, unused allowances, or accounts terminated for violations of these Terms.
  • We may change prices or plan features on reasonable prior notice, effective at your next renewal.

5. Acceptable use & prohibited conduct

To protect the Service and other users, you agree that you will not:

  • create more than one account per person, or create multiple or duplicate accounts to obtain additional free allowances, evade quotas or limits, or circumvent suspensions or restrictions;
  • use bots, scripts, or automated means to register accounts, or otherwise game, inflate, or abuse free-tier quotas;
  • circumvent, disable, interfere with, or attempt to defeat any usage limits, rate limits, authentication, or security features of the Service;
  • use the outreach, drafting, agent, or any AI features to send spam, unsolicited bulk email, chain messages, phishing, harassing, defamatory, deceptive, or unlawful communications, or to contact anyone who has asked not to be contacted;
  • violate any applicable anti-spam, email, privacy, or data-protection laws (including, where applicable, CAN-SPAM, GDPR, and ePrivacy rules);
  • scrape, crawl, harvest, data-mine, reverse engineer, decompile, disassemble, or attempt to derive source code from the Service, or copy, frame, or mirror any part of it;
  • upload malware, probe or breach security, gain unauthorized access to systems or accounts, or overload, disrupt, or impair the Service or its infrastructure;
  • upload content that is illegal, infringing, or that you do not have the right to submit; or
  • resell, sublicense, or commercially exploit the Service without our written permission.

6. AI features — important disclaimers

AI-generated output (including drafts, evaluations, extractions, admission-probability estimates, and research summaries) may be inaccurate, incomplete, or outdated. It is provided for your convenience and is advisory only — it is not professional, admissions, financial, or legal advice, and it is not a guarantee of any result. Admission-probability and fit estimates are evidence-based approximations, not predictions or guarantees. You are responsible for independently reviewing and verifying all AI output before relying on or acting on it.

7. Your responsibility for outreach

The Service prepares email drafts and follow-ups, but it does not send email on your behalf — you choose whether, when, and to whom to send. You are the sender of, and are solely responsible for, every message you send, including its content, accuracy, recipients, and compliance with applicable laws. You represent that you have a lawful basis to contact each recipient. You agree to indemnify us for claims arising from communications you send using material generated by the Service.

8. Your content & license

You retain ownership of the content and data you submit (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content — including transmitting it to our AI and infrastructure subprocessors — solely to operate and provide the Service to you. You represent and warrant that you have all rights necessary to submit Your Content and that it does not violate any law or third-party right, including for any third-party contact information you enter.

9. Intellectual property

The Service, including its software, design, branding, and content (excluding Your Content), is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable, non-exclusive license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

10. Suspension & termination

We may suspend or terminate your access to the Service, in whole or in part, at any time and at our discretion — including immediately and without notice — if we reasonably believe you have violated these Terms, engaged in fraud or abuse, or created risk or legal exposure for us or others. On termination for a violation, you are not entitled to any refund. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination will survive.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT OR OUTCOME (INCLUDING ADMISSIONS OR RESPONSES) WILL BE ACHIEVED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless GradScholar and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) communications you send; (c) Your Content, including third-party contact data you enter; or (d) your violation of these Terms or any law or third-party right.

14. Governing law & disputes

These Terms are governed by the laws of the State of [State], United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in [County/City, State] for any dispute not subject to an alternative resolution process. Before filing a claim, you agree to first contact us to attempt to resolve the dispute informally.

15. Changes to these Terms

We may modify these Terms from time to time. We will post the updated Terms with a new “Last updated” date and, for material changes, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
